Foundation Bylaws
Legal framework governing The Student Store Foundation operations.
Article 1: Name and Seat
1.1 The foundation bears the name: The Student Store Foundation (Dutch: Stichting The Student Store).
1.2 The foundation is established in Eindhoven, The Netherlands.
Article 2: Objective
2.1 The foundation's objective is to support design students through educational programming, governance, mission stewardship, and the operation of the Student Store marketplace as a nonprofit initiative.
2.2 The foundation seeks to achieve its objective by:
- Organizing educational workshops, mentorship, and student grants
- Curating exhibitions and pop-ups that highlight student work in an educational context
- Facilitating connections between students and industry professionals
- Setting guidelines that safeguard student welfare, fair compensation, and academic alignment
- Running the Student Store marketplace with fair commerce practices that directly serve the foundation's mission
Article 3: Board Composition
3.1 The board consists of at least two (2) and at most seven (7) members.
3.2 Board members are appointed for a term of three (3) years and may be reappointed.
3.3 At least 50% of board members must be current students or recent graduates (within 2 years of graduation).
Article 4: Financial Management
4.1 The foundation's financial year runs from January 1 to December 31.
4.2 All funds are used exclusively for the foundation's objectives as stated in Article 2.
4.3 The foundation maintains ANBI (Public Benefit Organization) status and publishes annual financial reports.
4.4 Commercial activities and revenue-generating operations are conducted by The Student Store Foundation as part of its nonprofit objectives. All proceeds are reinvested into educational initiatives and platform maintenance; no profits are distributed to board members.
Article 5: Amendment and Dissolution
5.1 These bylaws may be amended by a decision of the board.
5.2 In the event of dissolution, any remaining assets shall be transferred to an organization with similar objectives.
